1. Scope and service
These terms apply only to businesses ordering a FlashBind Business Subscription from Cortexa, MB. The service provides a page with your logo, two equally available choices (a Google review or a private message), email delivery of private messages, and an owner inbox. A stand is supplied with the initial order. Customers choose freely; no rating is used to restrict access to Google reviews.
2. Relationship to other terms
These terms govern the B2B subscription, its invoice payment, VAT presentation and subscription liability. Our general Terms of Service, Shipping Policy, Returns and Refunds policy and Warranty continue to apply to the physical stand and basic free service. The subscription cancellation rule concerns service fees only and does not remove the existing business returns policy for an eligible unused standard stand or rights for faulty products. These terms do not apply to consumer purchases or limit any consumer rights.
3. Order, start and renewal
The form is an order request; the contract is made when we confirm it by email. The confirmation states the service start date and paid period. The yearly plan covers the first 12 months. After those 12 months, the service automatically continues on the monthly plan at 19,99 € excl. VAT per month (24,19 € incl. 21% VAT) until cancelled. It does not renew for another year. The monthly plan renews automatically each month until cancelled. We send a reminder to your contact email at least 14 days before the first year ends, stating the transition date, monthly price and cancellation instructions.
4. Prices and payment
Prices are in euros excluding VAT. The yearly plan is 199 € for the first 12 months plus 49 € once for a custom-design stand. The monthly plan is 19,99 € per month plus 29,99 € once for a standard stand. With 21% VAT these are 240,79 € plus 59,29 €, and 24,19 € plus 36,29 € respectively. Applicable VAT is shown on the invoice; valid cross-border business VAT treatment may differ. Pay each invoice by bank transfer within 7 days of issue. No card payment is collected through the order form; card payments may be offered later under terms shown before use. The one-time stand charge is not repeated on renewal.
5. Cancellation and what happens afterwards
You may cancel renewal anytime by emailing info@flashbind.com from your contact email. During the initial yearly period, cancellation takes effect at the end of the paid first 12 months and prevents the transition to monthly billing; there is no refund for that initial paid period. On the monthly plan, including after the first year, you may cancel anytime, effective at the end of the paid month, with no refund for the current month. We confirm the end date by email. At the end, the branded page, private message collection and subscription inbox cease. Your stand continues as a plain Google review stand under the basic free service; it does not require a paid plan.
6. Stand ownership, design and delivery
The stand belongs to you after payment. For the yearly plan, send your logo and design preferences; production begins only after you approve the proof in writing. You must have permission to use the supplied artwork. The monthly plan includes a standard stand. Delivery normally takes approximately 1–2 weeks after payment and any required design approval; we confirm an estimate with the order. Existing delivery, stand returns and warranty rights remain applicable.
7. Private messages: controller and processor
Your business is the controller of its customers’ private messages; Cortexa, MB is the processor. You determine the purpose, lawful basis and customer notices. Processing covers receiving, storing, displaying, emailing and deleting messages to provide the service, for the subscription and the instructed retention period. Data subjects are your customers; data includes message text and any voluntarily supplied name, email or phone. Do not request sensitive data through the service.
8. Processor safeguards and retention
We process private messages only on your documented instructions, including these terms and your service settings, unless law requires otherwise, and inform you of an unlawful instruction. Authorised personnel are bound by confidentiality. We apply appropriate technical and organisational security measures, notify you of a personal data breach without undue delay, and assist with data-subject requests, security obligations and impact assessments. We provide compliance information and allow reasonable audits. We use subprocessors only with your prior written authorisation, equivalent obligations and notice of changes allowing objections; international transfers require lawful GDPR safeguards. Messages are stored in the service inbox and sent to your nominated email. You instruct us to delete or return them on request, or delete any remaining messages no later than 12 months after the subscription ends, unless law requires retention. The existing privacy policy’s earlier deletion of messages 12 months after submission remains applicable. You control copies in your own mailbox. Cortexa separately acts as controller for order, billing and account data under the Privacy Policy.
9. Availability and liability
We take reasonable care to operate the service, but do not guarantee uptime or uninterrupted availability. Maintenance and outages may occur; if we discontinue the basic service, we give reasonable advance notice under the general Terms of Service. To the extent permitted by law, subscription liability is limited to subscription fees paid in the 12 months before the event giving rise to the claim. We exclude indirect loss and loss of profit, revenue or business. These limits do not apply to intent, gross negligence, death or personal injury, or liability which law prohibits limiting, and do not limit data subjects’ statutory rights. Physical stand liability remains governed by the general Terms of Service.
10. Law and disputes
Lithuanian law applies. Please contact info@flashbind.com first to resolve a concern. B2B disputes under these terms are heard by the competent courts in Klaipėda, Lithuania, subject to mandatory jurisdiction rules.
